इस सूत्र में कहा गया है कि जब वाद-विवाद में कोई व्यक्ति या तो विरोधी मत रखता है (विप्रतिपत्ति) या किसी विषय को समझ नहीं पाता (अप्रतिपत्ति), तो ये दोनों ही स्थितियाँ पराजय के कारण (निग्रहस्थान) मानी जाती हैं। अर्थात, तर्कशास्त्र में इन अवस्थाओं को हार का आधार माना गया है।
